Terms for the recurring MIRENA Founder subscription.
These terms govern the order, €20 base price, VAT, one named seat, 30-day access period, automatic renewal, cancellation, Founder rate, refunds, product changes, account use, and disputes.

1. Parties, product, and scope
These terms govern paid MIRENA access sold by Kevin Maguire trading as Semantec SEO, Central Park, Clane, Ireland.
MIRENA is the product and workflow name. It is delivered as a custom GPT in ChatGPT and is not a separate legal person or an OpenAI foundation model.
2. Capacity and customer status
You must have legal capacity to subscribe and meet separate OpenAI age and account requirements. If you subscribe for an organisation, you confirm authority to bind it.
A consumer retains mandatory rights. A person subscribing mainly for trade or professional purposes may be treated as a business customer under applicable law.
3. Order and contract start
The current Founder plan provides one named seat, one active MIRENA instance, and 30 days of access after a confirmed order.
The order is accepted when payment is confirmed and paid access is provisioned. The order confirmation should record the charged amount, tax, account, period, and next renewal date.
4. Price, VAT, and payment
The Founder base price is €20 for each 30-day period. Applicable VAT and mandatory charges are added before payment and the checkout total is the binding amount.
You authorise the payment provider to charge the accepted payment method at each renewal until cancellation. Currency conversion, bank, card-issuer, OpenAI, and third-party charges are separate unless the checkout states otherwise.
5. Recurring renewal
The subscription renews automatically every 30 days until cancelled or ended under these terms. The renewal date should appear at checkout or in the order confirmation.
A failed payment may lead to notice, suspension, and closure if not corrected within the period stated in the notice.
6. Cancellation
You may cancel by emailing support@semantecseo.com from the account email before the next renewal is processed. Ask for written confirmation and the final access date.
Cancellation stops future renewal. Paid access normally remains through the current unrefunded period. Deleting or losing a separate OpenAI account does not cancel the Semantec SEO subscription.
7. Founder base rate
The €20 base rate remains attached to the same active Founder subscription under the current terms. If the subscription is cancelled and closes, the Founder base rate cannot be restored later.
The promise does not freeze VAT, other taxes, bank costs, exchange costs, OpenAI charges, or third-party fees. A future separate product or advanced plan may have a separate price.
8. Included access and separate services
The plan includes access to the current MIRENA workflow, one named seat, one active instance, and core product updates described on the product and Pricing pages.
It does not include a ChatGPT plan, OpenAI usage, external SEO tools, CMS implementation, development, migration, legal review, accessibility certification, client approval, or publication.
9. Account, seat, and security
Access is assigned to the named subscriber. Do not share credentials, pool access, rent or resell the account, automate the ChatGPT interface, or bypass payment, entitlement, rate, safety, or technical controls.
You are responsible for your OpenAI account security and for promptly reporting suspected unauthorised access to Semantec SEO support and the relevant provider.
10. Permitted output use
During an active subscription, the named subscriber may use, edit, combine, publish, and deliver reviewed outputs for the subscriber's own business and authorised client work.
This licence does not transfer MIRENA access, protected prompts, knowledge files, agent files, configuration, backend logic, marks, or the right to reproduce or resell the service.
11. Input rights and output review
You must have the right or another lawful basis to provide every input. Do not submit credentials, full card data, unlawful content, or unsuitable personal or confidential information.
MIRENA output is working material and can be incomplete, inaccurate, outdated, or unsuitable. You remain responsible for facts, sources, claims, rights, client terms, law, accessibility, code, links, schema, and implementation.
12. Refunds, withdrawal, and conformity
The Refund Policy offers a voluntary first-period refund when the original purchaser requests it within 30 days of the initial charge.
Mandatory consumer withdrawal, conformity, price-reduction, refund, termination, and other rights remain separate. The checkout must handle immediate-performance and withdrawal information lawfully.
13. Product, provider, and term changes
Semantec SEO may update MIRENA, prompts, agents, workflows, documentation, providers, and technical delivery. A material adverse change to an active paid user's rights, price, or core service should receive reasonable advance notice where required.
OpenAI can change ChatGPT terms, models, plans, limits, controls, and availability independently. Semantec SEO does not guarantee an external provider's continued service.
14. Suspension and termination
Semantec SEO may restrict or end access for non-payment, serious breach, fraud, security risk, unlawful conduct, rights infringement, platform-policy breach, or service protection.
Where appropriate, notice and an opportunity to correct may be provided. Immediate restriction may occur when delay would increase harm, fraud, security, legal, or service-integrity risk.
15. No results guarantee and liability
The subscription provides access to a workflow, not a guaranteed search or business outcome. No ranking, indexation, traffic, lead, sale, revenue, citation, snippet, rich result, or return is promised.
Nothing excludes liability or consumer rights that cannot lawfully be excluded. The Disclaimer controls detailed reliance and professional-advice limits.
16. Irish law, disputes, and contact
Irish law governs these terms, subject to mandatory protections that apply to a consumer in another country. The parties should first use support@semantecseo.com to seek a practical resolution.
Consumers retain applicable regulatory, complaint, alternative-dispute, and court rights. Legal or policy questions may be sent to privacy@semantecseo.com.
