Parties, scope, and capacity
These terms govern paid MIRENA access sold by Kevin Maguire trading as Semantec SEO.
- The business address is Central Park, Clane, Ireland.
- You must have legal capacity to contract and meet the separate OpenAI age and account rules.
- If you subscribe for an organisation, you confirm authority to bind it.
- MIRENA is a product and workflow name. It is not a separate legal person or an OpenAI foundation model.
Current plan and contract start
The current Founder plan provides one seat, one active MIRENA instance, and 30 days of access after a confirmed order.
- The order is accepted when payment is confirmed and paid access is provisioned.
- The order confirmation should record the charged amount, tax, 30-day period, account, and next renewal date.
- The plan covers the current MIRENA workflow described on the Pricing and product pages.
- No long-term fixed term applies. The contract continues in recurring 30-day periods until cancelled or ended under these terms.
Price, VAT, payment, and invoices
The Founder base subscription price is €20 for each 30-day period. Tax is separate from the Founder-rate promise.
- Before order, the checkout must show the total payable price, including VAT and any mandatory charge that applies.
- You authorise the payment provider to charge the accepted payment method at each renewal until cancellation.
- You must provide accurate billing information and may ask account support for a receipt or billing record.
- Currency conversion, bank, card-issuer, and OpenAI charges are separate unless the checkout expressly says otherwise.
- A failed payment can lead to a payment notice, access suspension, and closure if it is not corrected within the period stated in the notice.
Recurring 30-day renewal
The plan renews every 30 days and charges the payment method on file until cancellation.
- The renewal date should appear in the checkout or order confirmation.
- Cancellation must reach account support before the next renewal is processed.
- A cancellation request received after a renewal charge does not automatically reverse that charge.
- The Refund Policy and mandatory law control any refund or price-reduction right.
Cancellation and access after cancellation
You may cancel at any time by emailing account support. Cancellation stops the next renewal.
- Use the account email and ask for written confirmation.
- Paid access normally remains until the end of the current paid period.
- A full refund, legal remedy, security action, or serious breach can end access earlier.
- Deleting or losing a separate OpenAI account does not by itself cancel the Semantec SEO subscription. Contact Semantec SEO account support.
Founder base rate
The €20 base rate stays with the same active Founder subscription under the current published terms.
- If the subscription is cancelled and closes, the Founder base rate cannot be restored later.
- A later purchase is subject to the plan and price then offered.
- The rate promise does not freeze VAT, other taxes, bank costs, currency costs, OpenAI charges, or third-party fees.
- Core system updates are included as described below. A future separate plan or advanced module may carry its own price.
Voluntary refunds and statutory withdrawal rights
The Refund Policy offers a voluntary first-period refund when the original purchaser asks within 30 days of the initial charge.
- The voluntary refund normally applies to the first paid 30-day period only.
- A full refund normally cancels future renewal and may end paid access at once.
- This policy does not reduce a consumer's mandatory cancellation, conformity, price-reduction, or refund rights.
- For online consumer contracts, a 14-day withdrawal right may apply. The result can depend on the type of digital supply, immediate performance request, and checkout consent.

Supply, conformity, and consumer remedies
Where consumer law applies, MIRENA must be supplied and must match the contract during the paid period.
- Report missing access or a service fault to account support without delay.
- A consumer may have a right to have the service brought into conformity free of charge, within a reasonable time, and without significant inconvenience.
- A proportionate price reduction or contract termination may apply when the legal conditions are met.
- No disclaimer removes mandatory rights for a digital service that is not supplied or does not match the contract.
Seat, account, and access responsibility
The current plan is assigned to one account and permits one active MIRENA instance.
- Keep credentials secure and report unauthorised use quickly.
- Do not share, pool, sell, transfer, or bypass the one-seat access limit.
- You remain responsible for authorised work done through the account.
- Extra seats, concurrent instances, team workspaces, or client resale rights are not included unless confirmed in writing.
ChatGPT and third-party platform boundary
MIRENA runs in ChatGPT, but the Semantec SEO fee does not include OpenAI access or charges.
- A supported ChatGPT account and sign-in may be required.
- OpenAI controls its account rules, plans, models, usage limits, platform availability, and separate charges.
- Stripe may process payments, and Authflow.ai may support entitlement or access records in the current setup.
- A third-party outage does not remove mandatory consumer remedies if the paid MIRENA service is not supplied as agreed.
Inputs, outputs, intellectual property, and acceptable use
You remain responsible for material you submit and for checking output before use.
- Only submit material you have the right and permission to use.
- Do not submit passwords, full payment-card details, restricted material, or sensitive personal data without a lawful and approved basis.
- MIRENA output is working material. Check facts, rights, links, code, claims, privacy, and implementation.
- Semantec SEO retains rights in the MIRENA name, workflow design, agent stack, prompts, documentation, and product materials.
- Use of the service must follow the Acceptable Use Policy and applicable OpenAI rules.
Core updates, product changes, and future plans
Active Founder subscribers receive core system updates under the current published offer.
- Semantec SEO may fix faults, improve workflows, change delivery, add features, remove unsafe or obsolete parts, and respond to platform or legal changes.
- A future advanced module, extra seat, higher tier, or separate service may be sold separately.
- For consumer contracts, a change beyond what is needed to keep the service in conformity must follow the legal rules that apply.
- If a change materially harms consumer access or use, statutory notice and termination rights may apply.
Restriction, suspension, and termination
Access may be restricted or ended for payment failure, misuse, security risk, legal duty, or a serious contract breach.
- Urgent action may be taken to protect accounts, the service, other people, or legal compliance.
- When practical, Semantec SEO will state the reason and the steps needed to restore authorised access.
- If Semantec SEO ends paid access without customer breach and cannot provide the rest of the paid period, an unused-period refund or another lawful remedy will apply.
- A suspension or closure does not remove fees already lawfully due or mandatory consumer rights.
Availability, support, and maintenance
MIRENA depends on Semantec SEO systems and third-party services, including ChatGPT.
- Maintenance, security work, provider incidents, and external platform changes can interrupt access.
- Report access, billing, entitlement, or cancellation issues to support@semantecseo.com.
- Semantec SEO does not promise uninterrupted service, but this does not remove a statutory remedy for failure to supply or lack of conformity.

SEO outcomes, user responsibility, and liability boundary
A subscription gives access to a workflow. It does not promise a search or business result.
- No ranking, indexing, traffic, lead, sale, revenue, rich result, or return-on-investment outcome is promised.
- Search engines, OpenAI, WordPress, hosting, payment providers, and other services make their own decisions.
- You remain responsible for factual, editorial, legal, technical, privacy, client, and business approval.
- Nothing in these terms excludes liability or a consumer right that cannot lawfully be excluded.

Changes to these terms
Material changes should be stated clearly and should not rewrite an already paid period in an unfair way.
- A new version may respond to product, price, legal, support, security, or provider changes.
- Material changes should receive reasonable notice unless urgent law, fraud, abuse, or security action requires a faster change.
- Price or plan changes normally apply from a future renewal, subject to the Founder-rate promise and mandatory law.
- If you do not accept a future change, you may cancel before the next renewal.
Consumer status, governing law, and disputes
Irish law governs these terms, subject to mandatory protections that apply to a consumer in another country.
- A consumer is a person buying mainly outside trade, business, craft, or profession.
- Business customers may not receive consumer-only rights.
